數家國有類上市公司處于停牌狀態 央企專業化整合力度加大

4月8日,剛(gang)剛(gang)復牌的(de)中國(guo)船舶(bo)和(he)中船防務雙雙漲停,國(guo)企并購行情(qing)持續升溫。WIND統計數(shu)據(ju)顯示(shi),目前滬深(shen)兩(liang)市(shi)1045家國(guo)有(you)類上市(shi)公(gong)司(si)中,還有(you)包(bao)括東(dong)方能源(yuan)、航天長(chang)峰、一汽(qi)轎車等數(shu)家公(gong)司(si)正處于(yu)停牌狀態(tai),停牌原因主要為重(zhong)大資(zi)(zi)產重(zhong)組或擬籌劃(hua)重(zhong)大資(zi)(zi)產重(zhong)組。


這只是一個開始。今年將是國企尤其(qi)是央企并購重組的活(huo)躍年,下一步鋼鐵、有色、環(huan)保等多領域專業化(hua)整合力度將加大,油氣、軍工(gong)等部(bu)分(fen)壟斷領域將迎來新突破,這也(ye)將帶(dai)來更多混改(gai)機(ji)會,第四(si)批(pi)試點名單呼之(zhi)欲出。


船舶行業戰略重組開啟


中(zhong)國船舶(bo)行業的戰(zhan)略性重組正在全面加速。4月4日晚間(jian),有著(zhu)“南船”之稱(cheng)的中(zhong)船集(ji)團(tuan)旗下兩大上市(shi)平臺中(zhong)國船舶(bo)、中(zhong)船防務相繼(ji)發布重組方案。

與(yu)此(ci)同時,作為“北船”的中(zhong)船重(zhong)工集團也動(dong)作不斷(duan)。上市公司(si)(si)中(zhong)國動(dong)力董(dong)事(shi)會4月4日(ri)審議(yi)通過了《關(guan)于組建中(zhong)高速柴(chai)油(you)(you)(you)機產業(ye)(ye)(ye)公司(si)(si)的議(yi)案》。公告稱,為解決(jue)中(zhong)高速柴(chai)油(you)(you)(you)機業(ye)(ye)(ye)務的同質化競爭(zheng)、整(zheng)(zheng)體性不強等問題,促(cu)進公司(si)(si)中(zhong)高速柴(chai)油(you)(you)(you)機業(ye)(ye)(ye)務健康發(fa)展(zhan),公司(si)(si)擬組建中(zhong)國船舶(bo)重(zhong)工集團發(fa)動(dong)機有限(xian)公司(si)(si),對中(zhong)高速柴(chai)油(you)(you)(you)機業(ye)(ye)(ye)務開展(zhan)整(zheng)(zheng)合(he)。中(zhong)國動(dong)力的大股東(dong)為中(zhong)船重(zhong)工集團。


業(ye)(ye)(ye)內(nei)人士普遍認為(wei),經過此次資(zi)產(chan)調整之(zhi)后,中(zhong)船(chuan)(chuan)(chuan)集(ji)(ji)團旗下資(zi)產(chan)定(ding)位將更加清晰。國海證券表示,中(zhong)船(chuan)(chuan)(chuan)重(zhong)工(gong)和中(zhong)船(chuan)(chuan)(chuan)集(ji)(ji)團作為(wei)我(wo)國兩大造(zao)船(chuan)(chuan)(chuan)集(ji)(ji)團,是我(wo)國船(chuan)(chuan)(chuan)舶產(chan)業(ye)(ye)(ye)的核心骨(gu)干。造(zao)船(chuan)(chuan)(chuan)集(ji)(ji)團的合并,一(yi)(yi)(yi)方(fang)面有(you)利于進(jin)一(yi)(yi)(yi)步化解過剩產(chan)能,加速行業(ye)(ye)(ye)復(fu)蘇;另一(yi)(yi)(yi)方(fang)面,有(you)利于進(jin)一(yi)(yi)(yi)步整合優勢資(zi)產(chan),提升(sheng)我(wo)國船(chuan)(chuan)(chuan)舶產(chan)業(ye)(ye)(ye)的國際競爭力。


央企專業化整合力度加大


中國(guo)船舶行業一系列市場動作(zuo)的(de)背后(hou),是國(guo)企重(zhong)組升溫尤(you)其是專業化整合力(li)度的(de)加大。


今(jin)年兩(liang)會期間(jian),國(guo)務院國(guo)資委主(zhu)任(ren)肖亞慶表示,從中央企業現(xian)狀來看,在主(zhu)業方面總體上進(jin)步(bu)很大,但仍存(cun)在資源分散、主(zhu)業不突出(chu)的(de)現(xian)象,也存(cun)在某個(ge)專(zhuan)(zhuan)業上同質化(hua)(hua)競(jing)爭、無序競(jing)爭的(de)問(wen)題。今(jin)年將加大結(jie)構(gou)調(diao)整力度(du),積(ji)極穩妥推(tui)(tui)進(jin)裝(zhuang)備制(zhi)造(zao)、船(chuan)舶、化(hua)(hua)工等(deng)領(ling)域(yu)戰略重組,持續推(tui)(tui)動電(dian)力、有色、鋼鐵、海(hai)工裝(zhuang)備、環保等(deng)領(ling)域(yu)的(de)專(zhuan)(zhuan)業化(hua)(hua)整合(he),扎實推(tui)(tui)進(jin)區域(yu)資源的(de)整合(he)。


“央企并(bing)購重組(zu)(zu),有(you)些(xie)需(xu)要(yao)走(zou)強強聯(lian)(lian)合(he)‘做減法(fa)’,有(you)些(xie)則需(xu)要(yao)通(tong)過專業(ye)(ye)化拆分后(hou)再合(he)并(bing)‘做加(jia)(jia)法(fa)’。”中(zhong)國企業(ye)(ye)聯(lian)(lian)合(he)會研(yan)究(jiu)部研(yan)究(jiu)員劉興國在(zai)接(jie)受記(ji)者(zhe)采(cai)訪時表示,目前船舶(bo)業(ye)(ye)和汽車業(ye)(ye)央企都存在(zai)企業(ye)(ye)數量眾(zhong)多(duo),市(shi)場集中(zhong)度不(bu)高(gao)以及多(duo)元化經營等問(wen)題。所以,未(wei)來如果推進汽車、船舶(bo)進行(xing)(xing)強強聯(lian)(lian)合(he)重組(zu)(zu)的話,可能都需(xu)要(yao)有(you)一個輔業(ye)(ye)先(xian)行(xing)(xing)剝離或先(xian)行(xing)(xing)專業(ye)(ye)化整合(he)的問(wen)題,也就是說,需(xu)要(yao)在(zai)集團內部各自(zi)專業(ye)(ye)化整合(he)的基礎上再進行(xing)(xing)集團層(ceng)面(mian)(mian)的整合(he),以加(jia)(jia)快集團層(ceng)面(mian)(mian)重組(zu)(zu)后(hou)的資產(chan)與業(ye)(ye)務(wu)整合(he)。


國務(wu)院國資(zi)委研(yan)究中心研(yan)究員(yuan)胡遲(chi)也認為,往(wang)后央企(qi)重(zhong)組(zu)整合(he)方(fang)式將更為豐(feng)富,更突(tu)出專業(ye)化整合(he)。除了央企(qi)之間相關(guan)板塊(kuai)的拆(chai)分重(zhong)組(zu),央企(qi)對(dui)地方(fang)區域(yu)資(zi)源的整合(he)也將推(tui)進(jin),例如鋼(gang)鐵行業(ye)。


據(ju)記者了解,要實現2025年(nian)鋼鐵產業(ye)集中度達到60%的目(mu)標(biao),未來會(hui)有(you)(you)更(geng)大(da)規模(mo)跨(kua)所有(you)(you)制、跨(kua)區域重組(zu)。同時,針(zhen)對多個(ge)央企(qi)海工裝備(bei)產業(ye)面臨(lin)的經營難題,中國(guo)誠通、中國(guo)國(guo)新(xin)兩(liang)家(jia)資(zi)(zi)本運營公(gong)司(si)籌備(bei)設立相關資(zi)(zi)產整(zheng)(zheng)合(he)平臺。此外(wai)(wai),有(you)(you)色領域,2019年(nian)中國(guo)鋁業(ye)集團(tuan)有(you)(you)限(xian)公(gong)司(si)將加(jia)快重組(zu)云冶集團(tuan)之后的管理整(zheng)(zheng)合(he),加(jia)快集團(tuan)內外(wai)(wai)稀有(you)(you)金屬的整(zheng)(zheng)合(he),并且充分發揮國(guo)有(you)(you)資(zi)(zi)本投資(zi)(zi)公(gong)司(si)的平臺優勢,加(jia)快推動行業(ye)重組(zu)整(zheng)(zheng)合(he),向(xiang)“大(da)有(you)(you)色”邁出更(geng)大(da)的步伐。


油氣軍工等領域混改提速


值得注意的是(shi),今年(nian)央企(qi)專業化整合有望在(zai)油(you)氣、軍(jun)工等重點領域取得實質性突破,而(er)這也將帶(dai)來更多混改的機會。


國家(jia)發改(gai)委副(fu)主(zhu)任連維良(liang)此前表示(shi),在前三(san)批(pi)50家(jia)試(shi)點的(de)基礎上(shang),加快推(tui)出第四(si)批(pi)、100家(jia)以上(shang)混改(gai)試(shi)點。在重點領域(yu)混改(gai),鼓勵社會資本(ben)進入。肖亞慶在博(bo)鰲亞洲論壇2019年(nian)年(nian)會上(shang)也透露,最近可能要公(gong)布第四(si)批(pi)混改(gai)名單(dan),涉及(ji)面會更廣。


3月19日,中央全面(mian)深化(hua)(hua)改(gai)革(ge)(ge)(ge)委員會第七次會議(yi)審(shen)議(yi)通過了《石油(you)(you)天然(ran)(ran)氣(qi)(qi)管網(wang)運營機制(zhi)改(gai)革(ge)(ge)(ge)實施意見》,強調推(tui)動石油(you)(you)天然(ran)(ran)氣(qi)(qi)管網(wang)運營機制(zhi)改(gai)革(ge)(ge)(ge),要堅(jian)持深化(hua)(hua)市場(chang)化(hua)(hua)改(gai)革(ge)(ge)(ge)、擴大高(gao)水平開放(fang),組建國有資(zi)本控(kong)股、投資(zi)主體多(duo)元化(hua)(hua)的(de)石油(you)(you)天然(ran)(ran)氣(qi)(qi)管網(wang)公司,推(tui)動形成(cheng)上(shang)游油(you)(you)氣(qi)(qi)資(zi)源(yuan)多(duo)主體多(duo)渠道供(gong)應、中間統一管網(wang)高(gao)效集輸、下游銷(xiao)售市場(chang)充分(fen)競(jing)爭的(de)油(you)(you)氣(qi)(qi)市場(chang)體系(xi),提高(gao)油(you)(you)氣(qi)(qi)資(zi)源(yuan)配置效率,保障(zhang)油(you)(you)氣(qi)(qi)安全穩(wen)定(ding)供(gong)應。


“油(you)氣(qi)(qi)領(ling)域改(gai)革(ge)是個重點(dian)的改(gai)革(ge)方向。中央企業這(zhe)三家(jia)油(you)氣(qi)(qi)公司(si)(即中石(shi)油(you)、中石(shi)化和中海油(you)),今年要以管道公司(si)的組(zu)建為(wei)契機,深化油(you)氣(qi)(qi)領(ling)域的改(gai)革(ge)。”肖亞慶表示(shi)。


軍(jun)(jun)工(gong)(gong)(gong)領域的(de)改革也是今年一(yi)大看點。證監會(hui)副(fu)主席閻(yan)慶民日前在中國(guo)上市公(gong)(gong)司(si)協會(hui)國(guo)防軍(jun)(jun)工(gong)(gong)(gong)上市公(gong)(gong)司(si)座(zuo)談會(hui)上表示,目前我國(guo)軍(jun)(jun)工(gong)(gong)(gong)產(chan)(chan)(chan)業集團整體資(zi)(zi)產(chan)(chan)(chan)證券化率(lv)平均不足30%,一(yi)些核(he)心軍(jun)(jun)品仍未實現資(zi)(zi)產(chan)(chan)(chan)證券化。軍(jun)(jun)工(gong)(gong)(gong)企(qi)業利用資(zi)(zi)本(ben)市場(chang)發展的(de)潛力(li)和空間巨大。證監會(hui)支持軍(jun)(jun)工(gong)(gong)(gong)上市公(gong)(gong)司(si)借助資(zi)(zi)本(ben)市場(chang),進(jin)一(yi)步盤活(huo)資(zi)(zi)產(chan)(chan)(chan)、提(ti)質增效,提(ti)高資(zi)(zi)產(chan)(chan)(chan)證券化率(lv),提(ti)升核(he)心競爭力(li)。
